As a client or user of openwave services, you agree to comply with all applicable laws and regulations, provide accurate and complete information, maintain the confidentiality of any account credentials, and use our services only for lawful purposes.
You are responsible for ensuring that any property you engage us to manage complies with all applicable building codes, safety regulations, and legal requirements. You must promptly notify us of any material changes to your circumstances or property conditions that may affect our services.

Fees for our services are as specified in your service agreement and are subject to change with appropriate notice. Payment terms, late payment charges, and fee adjustments will be governed by your individual service agreement and applicable Spanish law.
All content on the openwave website, including text, graphics, logos, images, software, and other materials, is the property of openwave S.L. or its licensors and is protected by Spanish and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from our website without our express written permission. The openwave name and logo are trademarks of openwave S.L. and may not be used without our prior written consent.

Our total liability to you for all claims arising from or related to our services shall not exceed the total amount of fees paid by you to openwave in the twelve months preceding the event giving rise to liability. This limitation applies regardless of the legal theory on which the claim is based.
Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
You agree to indemnify, defend, and hold harmless openwave S.L., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from your use of our services, your violation of these Terms, or your violation of any applicable laws or third-party rights.
openwave shall not be liable for any failure or delay in performing our obligations under these Terms or any service agreement if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.
Either party may terminate the service relationship in accordance with the terms specified in the individual service agreement. openwave reserves the right to suspend or terminate your access to our services immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to openwave or other users.
Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, limitation of liability, and governing law provisions.
openwave reserves the right to modify these Terms at any time by posting updated Terms on our website. We will provide reasonable notice of material changes to existing clients. Your continued use of our services after the effective date of any modifications constitutes your acceptance of the updated Terms.
These Terms of Service shall be governed by and construed in accordance with the laws of Spain, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Málaga, Spain.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Before initiating any legal proceedings, the parties agree to attempt to resolve any disputes through good faith negotiations. If a dispute cannot be resolved through negotiation within thirty (30) days, the parties may pursue other legal remedies available under Spanish law.
These Terms of Service, together with your individual service agreement and our Privacy Policy, constitute the entire agreement between you and openwave regarding your use of our services and supersede all prior or contemporaneous communications and proposals.
